TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your access to and use of:

  • the A2Z Solutions websites (including a2zs.net, a2zs.ca, a2zs.co, a2zs.site and all subdomains) (the “Site”); and

  • the A2Z Solutions software platform, including the CRM, automation tools, telephony, AI features, and related services (the “Services” or “Platform”).

The Site and Services are owned and operated by ASSK-MI Solutions Inc. o/a A2Z Solutions (“A2Z Solutions”, “we”, “us”, or “our”).

By accessing the Site, creating an account, logging into the Platform, or using any Services, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Cookie Policy, which are incorporated by reference. Continued use of the Services after updates constitutes acceptance of the revised Terms.

THESE TERMS AND CONDITIONS CONTAIN A DISPUTE RESOLUTION CLAUSE THAT IMPACTS YOUR RIGHTS ABOUT HOW TO RESOLVE DISPUTES. PLEASE READ IT CAREFULLY.

1. Authority to Bind

If you access or use the Services on behalf of a business, you represent and warrant that you have authority to bind that business to these Terms. In such cases, “you” and “your” refer to both you individually and the entity you represent.

All actions taken by authorized users are deemed actions of the subscribing business.

2. Website Use

2.1 Acceptable Use

You agree to use the Site lawfully and not to:

  • harass or mistreat others;

  • violate intellectual property rights;

  • hack or attempt to access other accounts;

  • act fraudulently or deceptively;

  • post offensive, misleading, or illegal content.

We may suspend or terminate access to the Site for violations.

2.2 Intellectual Property

All content on the Site is owned by A2Z Solutions or its licensors, including text, images, logos, documents, software, and downloads. You may not copy, reproduce, or distribute any content without written permission.

2.3 User Contributions

Where permitted, users may submit content (comments, uploads, etc.). You retain ownership of your content but grant A2Z Solutions a non-exclusive license to use it for platform operation and promotion.

2.4 Third-Party Links

We are not responsible for third-party websites or services linked from our Site. Use them at your own risk.

3. Sale of Goods & Subscriptions

3.1 Products & Services

The Site offers software subscriptions and related digital services, including:

  • CRM access

  • AI tools

  • SMS, email, and automation features

  • Website and funnel builders

Certain services may include usage-based Communication Capacity. Additional capacity may be purchased separately through Expansion Packs.

All purchases are made at your own risk. We do not guarantee accuracy of descriptions or suitability for your use.

3.2 Subscriptions

Subscriptions renew automatically until canceled. You are responsible for cancellation. No refunds are provided for failure to cancel.

3.3 Free Trials

Free trials convert to paid subscriptions unless canceled before the trial ends.

3.4 Payments

You authorize us to charge your selected payment method. We may suspend services for failed or disputed payments.

3.5 Expansion Packs

Expansion Packs are optional, one-time purchases that increase the Communication Capacity available to your account.

Expansion Packs:

  • Are not subscriptions

  • Do not renew automatically

  • Do not reset monthly

  • Are consumed automatically as platform activity occurs

  • Expire 12 months from the date of purchase

Communication Capacity represents platform processing capacity and may be consumed by messaging, voice calls, email delivery, AI interactions, automation execution, data processing, integrations, carrier services, and other platform-initiated or user-initiated communication or automation activity.

Expansion Packs are non-refundable and non-transferable.

4. SaaS Platform Terms

4.1 Platform Role

A2Z Solutions provides tools only. We do not control or monitor how clients use the Services.

Each subscribing business is solely responsible for:

  • compliance with all applicable laws (CASL, TCPA, CAN-SPAM, GDPR, PIPEDA, etc.)

  • obtaining consent for communications

  • content, messages, and automations sent

  • employee and contractor actions

  • configuration of workflows, AI, and campaigns

4.2 Authorized Users

The subscribing business is fully responsible for all users on its account. Misuse by any user is deemed misuse by the business.

4.3 No Legal or Compliance Advice

We do not provide legal, regulatory, or compliance advice. The Services are tools only. You are responsible for determining lawful use.

4.4 Data Processing

Use of the Services is subject to our Privacy Policy.
Where we process personal data on your behalf, you are the data controller and A2Z Solutions is the data processor.

You confirm you have lawful authority to upload and process all data.

4.5 Cookies

We use cookies as described in our Cookie Policy. By using the Site or Services, you consent to their use, subject to your preferences.

4.6 Availability & Results

Services are provided “as is” and “as available.”
We do not guarantee uptime, deliverability, accuracy, revenue, leads, or business outcomes.

5. Indemnification

You agree to indemnify and hold harmless A2Z Solutions, its officers, directors, employees, contractors, and affiliates from any claims, fines, penalties, damages, or expenses arising from:

  • use of the Services

  • messages or content sent through the platform

  • violation of laws or regulations

  • actions of your users

  • data you upload

6. Communication Capacity and Expansion Packs

6.1 Included Communication Capacity

Each A2Z Solutions subscription plan includes a predefined level of Communication Capacity designed to support typical monthly business activity. Communication Capacity represents the system’s ability to process messaging, calling, AI interactions, automation triggers, and related communication events.

Included Communication Capacity resets at the beginning of each billing cycle.

6.2 Expansion Packs (Additional Communication Capacity)

Expansion Packs represent prepaid service capacity allocations and do not constitute stored monetary value, currency, or refundable balance.

Expansion Packs are optional, one-time purchases that increase total platform communication processing capacity and may be consumed by messaging, voice calls, email, chat, AI processing, automation events, integrations, routing, and other supported platform services.

Expansion Packs:

  • Are purchased separately from subscription plans

  • Do not reset at the end of a billing cycle

  • Remain associated with the Customer account until fully consumed or expired

  • Are consumed automatically as communication activity occurs

Expansion Packs function as a reserve capacity pool that allows uninterrupted operation when included plan capacity is exceeded. Capacity figures are approximate operational benchmarks and do not guarantee specific message quantities, as actual consumption varies based on communication type, processing complexity, automation activity, and system routing.

6.3 Scope of Capacity Consumption

Expansion Packs provide access to platform communication processing capacity but do not guarantee message delivery, carrier acceptance, response rates, or communication outcomes.

Communication Capacity and Expansion Packs may be consumed by system activity including, but not limited to:

  • SMS and MMS messaging

  • Voice calls (inbound and outbound)

  • AI-driven messaging and conversation handling

  • Automation triggers and workflow execution

  • Messaging across integrated channels (including WhatsApp, email, and other supported platforms)

  • System-initiated communication activity and routing

Consumption is based on system activity volume, processing requirements, and infrastructure utilization.

A2Z Solutions reserves the right to exclusively determines capacity consumption calculations based on platform processing activity, infrastructure utilization, and operational requirements.

6.4 Expiration Policy

Expansion Packs remain valid for twelve (12) months from the date of purchase.

Any unused Communication Capacity from Expansion Packs expires automatically 12 months from the date of purchase if unused, without refund or credit, transferred, or extended unless explicitly agreed in writing.

6.5 No Cash Value or Refundability

Expansion Packs:

  • Are non-refundable

  • Have no cash value

  • Cannot be redeemed for currency

  • Cannot be transferred between accounts without written approval

Expansion Packs represent prepaid access to platform communication processing capacity.

6.6 Fair Use and System Integrity

A2Z Solutions reserves the right to:

  • Monitor usage patterns

  • Prevent abuse, fraud, or system misuse

  • Adjust internal consumption calculations to maintain system stability

A2Z Solutions reserves the right to adjust Communication Capacity consumption rates, pricing structures, and service allocation ratios at any time to reflect carrier pricing changes, infrastructure costs, regulatory requirements, or operational conditions.

This ensures fair access and reliable performance for all Customers.

A2Z Solutions reserves the right to suspend or restrict platform services where usage exceeds reasonable operational limits, violates carrier policies, or threatens platform stability or compliance.

7. Limitation of Liability

To the maximum extent permitted by law, A2Z Solutions will not be liable for indirect, incidental, special, or consequential damages, including lost profits, data loss, reputational harm, or business interruption.

Our total liability will not exceed the amounts paid to us in the twelve (12) months preceding the event giving rise to the claim.

8. Consumer Protection

Where applicable consumer protection laws apply and cannot be excluded, your rights under those laws remain unaffected.

9. Dispute Resolution

Disputes must first be resolved through informal discussion, then mediation, and finally binding arbitration. Either party may bring claims in small claims court where permitted.

10. Changes to Terms

We may update these Terms from time to time. Continued use of the Site or Services after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the Provinces of British Columbia and Alberta, Canada.
